- Any misrepresentation made by you in connection with your use of the Website;
- Your negligence or willful misconduct;
- Any dispute between you and another user of our Website or services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with us in asserting any available defenses. You shall not settle any such claim without our prior written consent.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the State in which the relevant Anthony's Coal Fired Pizza location operates, without giving effect to any choice or conflict of law provision or rule.
To the extent permitted by applicable law, and subject to the dispute resolution provisions set forth in Section 13 below, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the United States for the resolution of any disputes not subject to arbitration.
In addition to applicable state law, these Terms are subject to applicable federal laws and regulations, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the CAN-SPAM Act, and other applicable federal consumer protection statutes. For users located in California, additional rights may apply under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other California-specific consumer protection laws.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at [email protected] to attempt to resolve any dispute informally. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving written notice of your complaint. Many concerns can be resolved quickly and to the satisfaction of both parties through this informal process.
13.2 Binding Arbitration
If a dispute cannot be resolved informally within thirty (30) days, you and Anthony's Coal Fired Pizza agree to resolve any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect.
The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated in accordance with the AAA Consumer Arbitration Rules. Each party shall bear its own attorneys' fees, unless the arbitrator determines that a party's claim was frivolous or brought in bad faith.
13.3 Class Action Waiver
YOU AND ANTHONY'S COAL FIRED PIZZA EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING OF ANY KIND AGAINST ANTHONY'S COAL FIRED PIZZA.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm pending the outcome of arbitration. Claims for such emergency relief shall be filed in the appropriate federal or state court.
14. Term and Termination
These Terms shall remain in full force and effect while you use the Website or maintain an account with us. We may terminate or suspend your access to the Website and your account, at our sole discretion, immediately and without prior notice or liability, for any reason, including but not limited to:
- A breach or suspected breach of any provision of these Terms;
- Engaging in fraudulent, abusive, or illegal conduct;
- Creating risk or possible legal exposure for us;
- Our decision to discontinue or materially modify the Website or services;
- Extended periods of account inactivity, as determined by us.
Upon termination, your right to use the Website and all services will immediately cease. If your account is terminated, we may delete any content or information associated with your account and will have no obligation to provide you with access to such information. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Please note that termination of your account does not relieve you of any obligations accrued prior to termination, including outstanding payment obligations.
15. Changes to These Terms
We reserve the right to modify, update, or revise these Terms of Service at any time and at our sole discretion. We will provide notice of any material changes by posting the updated Terms on this page with a revised "Last Updated" date at the top of the document. In some cases, we may also provide additional notice, such as an email notification or a prominent notice on our Website's homepage.
Your continued use of the Website or our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately cease using the Website and our services and, if applicable, close your account.
It is your responsibility to periodically review these Terms to stay informed of any updates. We encourage you to check this page regularly. If you have questions about any changes to these Terms, please contact us at [email protected].
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall be construed so as to best effectuate the original intent and purpose of the Terms.
The failure of Anthony's Coal Fired Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Website, constitute the entire agreement between you and Anthony's Coal Fired Pizza with respect to your use of the Website and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
18. No Agency Relationship
Nothing in these Terms shall be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Anthony's Coal Fired Pizza. You do not have any authority to make any representations, warranties, or commitments on our behalf or to bind us in any manner.
19. Force Majeure
Anthony's Coal Fired Pizza shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government restrictions or orders, labor disputes, power outages, internet service disruptions, cyberattacks, terrorism, war, civil unrest, or any other event beyond our reasonable control (collectively, "Force Majeure Events").
